# What happens when a lender revises its offer?

> How a lender's new terms replace its live offer, how the old terms are kept, and where to see an offer's history.

Lenders often come back with different terms: a lower amount, a new factor, a longer term. NextLevel MCA keeps one live offer per lender on a deal and files the earlier terms as history, so you never compare against a stale offer. This happens automatically for offers read from a lender's reply email or received through a lender's API.

## What happens

When a lender that already has a live offer on the deal sends different terms:

* **The new terms become the live offer.** The earlier offer is marked as replaced and drops out of **All offers**. It is kept, not deleted.
* **The revision is numbered.** The new row shows a **Rev 2** pill (then Rev 3, and so on) next to the lender's name.
* **Primary follows the new terms.** If the replaced offer was your primary, the new one becomes the primary.
* **The deal logs a revised entry**, for example *Lender revised offer: $50,000 @ 1.35 · 6 months → $45,000 @ 1.32 · 6 months*.

A "live" offer is one that hasn't been replaced and hasn't been funded. A funded offer is never replaced.

## What doesn't count as a revision

* **The same terms sent again.** If the amount, factor, term and term unit match the live offer, and so does the payment when both have one, no new offer is added. A re-send that leaves out the payment still counts as the same offer. The offer's history notes that the lender re-sent it, and the reply shows **Same terms re-sent** in the submission's details.
* **Offers you log by hand.** A manual offer is always added as its own offer and never replaces anything, even for a lender that already has one.
* **Your own edits.** Changing an offer with **Edit offer** changes that offer's terms in place. The edit is recorded, but it isn't a new revision.

For lenders connected by API, each status check brings back the lender's current list of offers. Any live offer the lender no longer lists is replaced by the new terms; offers it still lists stay live.

## See an offer's history

On the deal's **Offers & Contracts** tab, the **Offer history** card appears below **All offers** once any lender has revised. It has one section per lender that revised:

* Every version of the terms, newest first. The newest is marked **Live**; older ones are crossed out and marked **Replaced**, with when.
* When each version was received and where it came from: the email (hover to see the sender and subject), **Email (AI)**, **Lender API**, or **Logged by hand**.
* **Edits on the live terms**: any changes made with **Edit offer**, and re-sent notices, with who made them and when.

The deal's **Activity log** tab also records every revision.

## The merchant portal

Sharing doesn't carry over to a revision. If the replaced offer was in the merchant's portal, it is removed from the portal (the portal only shows live offers), and the revised entry on the deal says so. If the merchant had already accepted the replaced offer, the new terms still replace it:

* You get a **Lender approved or sent an offer** notification saying the lender changed the terms the merchant accepted.
* In **Offer history** the old version is marked **Accepted by merchant before it was replaced**.
* The portal stops showing the old offer as accepted and goes back to waiting for offers until you share the new terms. The merchant can then accept them.

## Common problems
